In these Terms, “Xyto”, “we”, “us” and “our” mean Xyto Taxology Limited. “You” and “your” mean the person or organisation purchasing or using our services.

 

2. Accepting these Terms

By using our website, creating an account, purchasing a service or accessing a course, membership, community or event, you agree to these Terms.

If you are purchasing on behalf of a business or organisation, you confirm that you have authority to do so.

If specific terms are shown on a sales or checkout page for a particular product or service, those terms will also apply. If they conflict with these Terms, the specific terms for that product or service will take priority.

Our Privacy and Cookie Policy also applies to your use of our services.

 

3. Courses, programs and other services

We will describe each course, program, membership, event or other service on its relevant sales or checkout page.

The information provided will include, where applicable:

  • what is included;
  • the price and currency;
  • the payment arrangements;
  • when access begins;
  • how long access lasts;
  • whether the service renews automatically;
  • whether live sessions are included; and
  • any specific cancellation or refund terms.

We will make reasonable efforts to ensure that our descriptions are accurate. We may make reasonable changes to instructors, schedules, platforms or supporting materials where necessary, provided this does not materially reduce the service you have purchased.

 

4. Prices, payments, subscriptions and refunds

Prices are normally shown in US Dollars (USD), unless otherwise stated.

Payments are processed through our payment provider, currently Kajabi Payments. We do not generally receive or store your full payment-card details.

If you choose a payment plan, the total price and payment dates will be shown before you purchase. A payment plan is an agreement to pay the agreed purchase price in instalments and is not automatically cancelled simply because you stop using the service.

Where a membership or subscription renews automatically, the renewal frequency and price will be shown before you purchase. You may cancel future renewals using the cancellation method provided by Xyto or by contacting us at service@xytotaxology.com.

Cancellation normally stops future charges but does not automatically refund a payment that has already been made, unless the applicable refund policy or the law provides otherwise.

 

Refunds

As our programs and course materials are delivered electronically, we do not offer refunds once access to the program has been provided, except where a refund or cancellation is required by applicable law.

Nothing in these Terms removes or limits any cancellation, refund or other consumer right that cannot legally be excluded.

Where digital content is supplied immediately after purchase, we may ask you to provide any consent or acknowledgement required by law for immediate access.

 

5. Access and use

Access to a course, program, membership or other service begins as stated on the relevant sales page or confirmation email.

Your access is personal to you unless you have purchased an organisational or multi-user licence.

You must not:

  • share your login details;
  • allow another person to use your account;
  • copy, reproduce or distribute substantial parts of our course materials;
  • upload our materials to another website, platform or AI system;
  • resell or commercially distribute our materials;
  • use our materials to create a competing course or service;
  • record a live session without permission; or
  • use our website or services for unlawful or harmful purposes.

We may suspend or terminate access where there is a serious breach of these Terms, including unauthorised sharing of accounts or materials, unlawful activity, serious misconduct or a significant threat to the security or privacy of our users.

Where appropriate, we will give you an opportunity to correct a breach before taking action.

 

6. Intellectual Property

Unless stated otherwise, the website, courses and materials provided by Xyto are owned by or licensed to Xyto Taxology Limited.

This includes course content, videos, recordings, presentations, workbooks, templates, assessments, downloads, graphics, branding and other resources.

You may use the knowledge and skills gained from our programmes in your own work and business. You may also use purchased materials for your own learning and as part of your normal professional or business activities, provided that you do not copy, reproduce, share, resell or distribute the materials themselves.

You may not reproduce, resell, publish, distribute or commercially exploit our protected materials without our written permission.

You retain ownership of original content that you contribute to our community. By posting content in a community or shared course area, you give Xyto permission to host and display that content as reasonably necessary to operate and moderate the service.

 

7. Educational and Tax Disclaimer

Our courses, community discussions, events, articles, videos, templates and other materials are provided for general educational and informational purposes.

Although some content and services may relate to taxation, accounting, finance, regulation or business, they are not individual tax, legal, accounting, financial or other professional advice unless we expressly state that a particular service is being provided as professional advice.

Tax laws, regulations, rates, thresholds and official practices can change and may differ between countries and jurisdictions. You are responsible for checking the current law and obtaining appropriate professional advice where necessary before making decisions based on information provided by Xyto.

Purchasing a course, using our services, attending an event or asking a question in our community does not by itself create a tax adviser-client, accountant-client, legal adviser-client or other professional advisory relationship.

Where Xyto provides professional services, those services will be subject to these Terms and any specific details provided for that service at the time of purchase.

We do not guarantee that completing a course or using our services will produce a particular tax result, qualification, financial result, business outcome or other specific result.

 

8. Community, confidentiality and recordings

If your purchase includes access to a community or discussion area, you agree to behave respectfully and not post:

  • confidential client or taxpayer information;
  • tax returns or identification numbers;
  • passwords or payment information;
  • private financial information;
  • personal information belonging to another person; or
  • unlawful, abusive, threatening, defamatory or infringing material.

You should remove or disguise identifying information when discussing real-world examples.

We may remove content or restrict access where reasonably necessary to protect our users, our services or the community.

Live sessions may be recorded. Where a session is recorded, we will take reasonable steps to notify participants. Your name, voice, image, chat messages or other contributions may appear in a recording if you participate using those features.

We will not use an identifiable participant’s image, testimonial or contribution in public advertising without obtaining any consent required by law.

 

9. Availability and liability

We will take reasonable care in providing our services, but we cannot guarantee that our website, courses or platforms will always be available or completely error-free.

Access may occasionally be interrupted by maintenance, technical problems, internet failures, cybersecurity incidents or problems affecting third-party providers.

Nothing in these Terms excludes or limits any liability that cannot legally be excluded or limited.

We are not responsible for losses arising from your use of general educational information as a substitute for professional advice, changes in tax or other laws after content was produced, or information that you provide to us that is inaccurate or incomplete.

Where you purchase as a business, and to the extent permitted by law, our total liability relating to a particular paid service will not exceed the amount paid to us for that service during the 12 months before the event giving rise to the claim.

Nothing in these Terms limits any rights you have under applicable consumer law.

These Terms are governed by the laws of England and Wales.

 

Any dispute will first be dealt with through reasonable direct communication between you and Xyto. Nothing in these Terms prevents you from using any statutory consumer rights or dispute-resolution process available to you.
